Terms of Use

This website (as defined in Article 1 below) is provided by Publishers Members Limited (a company registered in the Hong Kong Special Administrative Region) (the “Publisher”). Any access to and use of the Site by visitors (as defined in Article 1) is subject to and constitutes acceptance of these Terms of Use. Visitors also agree to comply with any other guidelines, operating rules, policies and instructions relating to access and use of the Site, and with any revisions posted on the Site by the Publisher (and/or other members of the Global Sources Group, as defined in Article 1). If you do not accept these Terms of Use, you must cease accessing and using the Site.

The Publisher (and/or members of the Global Sources Group) may modify or update these Terms of Use at any time by posting a revised version on the Site. Such revisions take effect immediately upon posting. If you do not agree with the changes, you should stop using the Site.

1. Definitions and Interpretation

Unless the context otherwise requires, the following terms have the meanings set out below:

• “Negotiation Terms”: has the meaning given in Article 19.
• “Force Majeure Event”: an event beyond a party’s reasonable control, including but not limited to acts of God, fire, flood, explosion, storm, typhoon, earthquake, serious calamity, power or communications failure, equipment breakdown, accident, epidemic, government action, war, riot, strike, shortage of supply, and similar events.
• “Global Sources Content”: all content, information, applications, text, images, links, audio, video, software and data on the Site, excluding Third Party Content.
• “Global Sources Group”: Global Sources Ltd., incorporated in Bermuda, and any of its affiliates, including the Publisher.
• “Global Sources Indemnitees”: the Publisher and other members of the Global Sources Group, including their directors, employees, representatives and agents.
• “Intellectual Property Rights”: all copyrights, patents, trademarks, service marks, domain names, design rights, database rights, trade secrets and other intellectual property rights, whether registered or not.
• “All Content”: collectively, Global Sources Content and Third Party Content.
• “Password”: a valid password used to access protected areas of the Site.
• “Publisher”: Publishers Members Limited, as defined above.
• “Relevant Activities”: import, export, advertising, sale, supply, purchase and other activities related to products on the Site.
• “Specific Services”: services provided by the Global Sources Group on or via the Site.
• “Specific Terms”: terms that apply specifically to the Specific Services.
• “Third Party Content”: content, information, programs, images, videos, files and other materials displayed or provided on the Site by third parties, whose Intellectual Property Rights do not belong to the Global Sources Group.
• “Third Party Licensors”: the respective owners of Third Party Content.
• “Trademark”: has the meaning given in Article 3.
• “Username”: a visitor’s unique login name for the Site.
• “Visitor”: any person or entity accessing or using the Site and its services.

Headings are for convenience only and do not affect interpretation. “Including” means “including without limitation”.

2. Other Applicable Terms and Conditions

These Terms of Use apply in addition to any Specific Terms. In case of conflict, the interpretation most favorable to the Publisher and/or Global Sources Group members shall prevail, or the Specific Terms shall apply.

3. Intellectual Property

Unless otherwise expressly stated, all copyright, rights and interests (including Intellectual Property Rights) in the Global Sources Content are owned by or licensed to the Publisher and/or relevant Global Sources Group members. Rights in Third Party Content belong to the Third Party Licensors.

All Trademarks used on the Site are owned by the Publisher, Global Sources Group members or third parties. No use, copying or imitation is permitted without prior written consent.

4. Restrictions on Use of Content

Visitors may use, download and temporarily reproduce Global Sources Content solely for personal, non-commercial purposes. No content may be used to compete with the Publisher or the Global Sources Group. Content must not be modified, must retain original rights notices, and no rights may be transferred. Except as expressly permitted in this Article, no content of the Site may be used, downloaded, copied, distributed or otherwise exploited without prior authorization.

5. Protection of Intellectual Property Rights

Visitors acknowledge that the Site and its content are the result of substantial investment by the Publisher and/or Global Sources Group members. Visitors must respect and protect those Intellectual Property Rights and shall not infringe them. Visitors will cooperate with any measures necessary to enforce such rights.

6. Updates

All updates or additions to the Site and its content are subject to these Terms of Use.

7. Amendments

The Publisher and/or Global Sources Group members may at any time update, suspend, discontinue or modify the Site, its content, services and functionality without notice and without liability.

8. Third Party Content and Links

The Site may contain links to third-party websites or content. Such content is the responsibility of those third parties and your access or use is at your own risk. Neither the Publisher nor the Global Sources Group makes any warranty or endorsement of third-party content.

9. Disclaimer

The Site and all content are provided “as is” without any express or implied warranty, including but not limited to accuracy, fitness for purpose, uninterrupted access or freedom from viruses. Visitors assume all risk of use.

10. Limitation of Liability

The Publisher, Global Sources Group members, their agents and employees shall not be liable for any loss, damage or expense arising out of or in connection with access to, use of or inability to use the Site, content, services or third-party content, however caused, and whether in contract, tort or otherwise, including but not limited to loss of profit, data or business. The total liability shall not exceed one US dollar.

11. Lawful Use and Indemnification

Visitors must not use the Site or its content in any way that violates applicable laws, regulations or third-party rights (including Intellectual Property Rights). Visitors shall indemnify the Publisher and the Global Sources Indemnitees against any claims, losses or expenses arising from their use.

12. Access and Account Security

• Access to the Site requires visitors to provide their own hardware, software and internet connection at their own risk.
• Protected areas of the Site require a Username and Password. Visitors must keep their credentials secure and notify the Publisher immediately of any compromise.
• The Publisher may change or revoke access rights at any time without liability.

13. Entire Agreement

These Terms of Use, together with any applicable Specific Terms, constitute the entire agreement between the parties and supersede all prior agreements, whether written or oral.

14. Waiver and Severability

Failure to enforce any right is not a waiver. If any provision is held invalid, the remainder remain in force.

15. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be resolved by the courts of the Hong Kong Special Administrative Region or other courts designated by the Publisher.
